DESCRIPTION | The study unit will introduce students to the salient features of dissolution and winding up including voluntary and compulsory liquidation, administration as an alternative to winding up, as well as cross border insolvency. It will also include discussions on fraudulent behaviour and potential criminal activity in the winding up of companies, and the distinction between fraudulent and wrongful trading. It will also introduce students to the salient features of the financial services legislation including the Malta Financial Services Authority Act, Financial Institutions Act,Investment Services Act and the Malta Stock Exchange Act. This study unit will also include an introduction to collective investment schemes and the concept of investor protection. Study-unit Aims The purpose of this study unit is to provide students with an understanding of the salient features of dissolution and winding up of companies and the financial services legislation in Malta, which is fundamental to the professional development of accountants. Learning Outcomes 1. Knowledge & Understanding: By the end of the study-unit the student will be able to: a) Distinguish between the various forms that winding up proceedings may take - voluntary and compulsory winding. b) Distinguish between fraudulent and wrongful trading. c) Describe the legislation related to financial services in Malta and discuss its importance and relevance. 2. Skills: By the end of the study-unit the student will be able to: Identify fraudulent behaviour and potential criminal activity in the winding up of companies.
