DESCRIPTION | The skills and knowledge on Governance, Risk management and Compliance are being requested in all sectors of the economy. The aim is that of introducing good governance in various areas of the economy in order to adequately and protectively identify, measure and manage the perceived gaps, while ensuring compliance to the prescribed rules and regulations. The ever increasing market demand and lack of an available pool of talent for the personnel with knowledge and expertise in the fields of Governance, Risk management and Compliance highlight the need to address this gap. Hence the unit is aimed at students who aspire to continue their studies in different public or private sectors as well as within regulating authorities. Areas which will be addressed under this study unit relate specifically to Public, Private and Financial Organisations, EU Governance and Regulations; Corporate Governance; Conduct of Business Rules and Related Requirements (Markets In Financial Instruments Directive, Insurance Distribution Directive); Internal Controls; Anti Money Laundering and Combating Financial Terrorism; The Whistleblowing Act; Financial Services Regulations (Solvency, Capital Requirements); Ethics in Business. Practical Case studies and guest speakers from the industry will also be an integral part of this study-unit. Study-Unit Aims: ll aim of this study-unit is to help students comprehend the principles of governance and their implications on business activities and governmental organisations. To this effect, the study-unit seeks to orientate students with relevant Maltese and European legislation as well as the virtues of good governance. The knowledge and skills acquired through this unit serve as a platform for deepened and widened perspectives on the mode of governance in later years of the B.Com course. Learning Outcomes: 1. Knowledge & Understanding: By the end of the study-unit the student will be able to: - Identify the different lines of governance and accountability within the organisations, - Evaluate the interactions between different stakeholders' requirements (internal and external to a company), - Identify and evaluate the evolving role of regulation and compliance as the developing regulatory framework becomes more intrusive and complex. - Identify the needs for technology in the development of RegTech solutions to balance the new risks of these developments. - Appraise the need for regulations and controls in proportion to the organization's size, complexity and nature. 2. Skills: By the end of the study-unit the student will be able to: - Evaluate the impact of good governance, regulation on the compliance requirements of an organisation; - Interpret regulatory requirements on governance, risk and compliance in managing operational risks; - Interpret developments in the regulatory regime in connection with compliance matters. - Identify the different governance structures and analyses the impact in terms of the organisations' nature, complexity and size.
